Terms and Conditions

These Terms and Conditions govern the provision of staffing and workforce services by Saif FM (“we”, “us”, “our”) to clients (“Client”, “you”, “your”) operating in England.
By engaging our services or using our website, you agree to these Terms and Conditions.

1. About Us

Saif FM is a staffing and workforce solutions provider supplying temporary, permanent, contract, and outsourced personnel to businesses across multiple industries within England.

2. Definitions

  • “Agency Worker” means an individual supplied by Saif FM to work for a Client
  • “Assignment” means the period during which an Agency Worker is supplied to a Client
  • “Client” means any business engaging Saif FM
  • “Services” means recruitment, staffing, placement, and workforce services

3. Scope of Services

Saif FM will use reasonable skill and care to supply suitable personnel based on the Client’s requirements.
The specific terms of each Assignment, including role, hours, location, and duration, will be agreed in writing.
We do not guarantee the suitability, performance, or continued availability of any Agency Worker.

4. Employment Status

Agency Workers remain employees or workers of Saif FM (or engaged via an umbrella company where applicable).
No contract of employment is created between the Client and any Agency Worker.
The Client must not treat an Agency Worker as its employee for legal or contractual purposes.

5. Client Obligations

The Client shall:
Provide accurate job descriptions, duties, and working conditions
Ensure a safe working environment in accordance with the Health and Safety at Work etc. Act 1974
Comply with all applicable employment, equality, and discrimination laws
Provide appropriate supervision, instruction, and equipment
Immediately report any incidents, injuries, misconduct, or performance concerns

6. Health and Safety

The Client is responsible for health and safety at the workplace during Assignments
Any known risks must be disclosed before an Assignment begins
Accidents or near-misses must be reported immediately
Saif FM reserves the right to withdraw Agency Workers from unsafe environments

7. Working Time

Working hours must comply with the Working Time Regulations 1998
The Client must not permit Agency Workers to exceed legal working limits unless a valid opt-out is in place
Overtime must be authorised and may be charged at an increased rate

8. Fees and Payment

Fees are charged as agreed in writing
Invoices are payable within the stated payment period
Saif FM reserves the right to suspend services for non-payment

9. Absence and Replacement

Saif FM will use reasonable efforts to provide a replacement where an Agency Worker is absent
Replacement is subject to availability
Fees remain payable unless otherwise agreed in writing

10. Conduct and Removal

The Client may request the removal of an Agency Worker for reasonable cause
Saif FM retains responsibility for disciplinary matters
The Client must not dismiss, discipline, or reassign Agency Workers directly

11. Non-Solicitation and Transfer Fees

The Client must not directly engage or employ an Agency Worker during an Assignment or for a defined period after it ends without written consent
A transfer or introduction fee may apply in accordance with UK employment agency regulations

12. Confidentiality

Both parties agree to keep confidential all business, commercial, and personal information
Agency Workers are required to respect Client confidentiality
Confidentiality obligations survive termination

13. Data Protection

Saif FM complies with UK GDPR and the Data Protection Act 2018.
Personal data is processed lawfully, fairly, and securely
Data is shared only where necessary to provide the Services
The Client must handle Agency Worker data in compliance with UK data protection law

14. Intellectual Property

Unless otherwise agreed in writing, any intellectual property created by Agency Workers during an Assignment belongs to the Client.

15. Liability

Saif FM is not liable for indirect or consequential losses
Our total liability is limited to the fees paid for the relevant Assignment
Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraud

16. Insurance

Saif FM maintains all legally required insurance, including employer’s liability insurance.
The Client is responsible for insurance relating to its premises and operations.

17. Force Majeure

Saif FM shall not be liable for failure or delay caused by events beyond our reasonable control, including natural disasters, government action, or industrial disputes.

18. Termination

Either party may terminate services in accordance with agreed notice terms
Immediate termination may occur in cases of breach, non-payment, or unsafe working conditions
Outstanding fees remain payable upon termination

19. Governing Law

These Terms and Conditions are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

20. Changes to These Terms

Saif FM reserves the right to amend these Terms at any time.
Continued use of our Services constitutes acceptance of any revised Terms.
